Terms of Service

1. Agreement to Terms

By accessing or using any services, software, websites, or platforms provided by Wideband, LLC ("Wideband," "we," "us," or "our"), including but not limited to Wideband Systems, you ("User," "Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and Wideband, LLC, a North Carolina limited liability company located in Charlotte, NC.

2. Description of Services

Wideband provides business systems consulting, implementation, and software access services. Our Services include, but are not limited to:

  • Access to business management software platforms
  • CRM, marketing automation, and sales pipeline tools
  • Website and funnel building capabilities
  • Communication tools (SMS, email, voice)
  • Systems consulting and implementation services
  • Training and support resources

3. Account Registration and Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

You agree to immediately notify Wideband of any unauthorized use of your account or any other security breach. Wideband is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans, Fees, and Payment

4.1 Subscription Fees

Access to Wideband Systems requires a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Fees are quoted in U.S. dollars unless otherwise specified.

4.2 Billing Cycle

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan) and will automatically renew at the end of each billing period unless cancelled.

4.3 Payment Authorization

By providing payment information, you authorize Wideband to charge your designated payment method for all fees incurred. You are responsible for ensuring your payment information remains current and valid.

4.4 Failed Payments

If payment fails, Wideband reserves the right to suspend or terminate your access to Services until payment is received. Continued non-payment may result in account termination and collection efforts.

4.5 Price Changes

Wideband reserves the right to modify pricing at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing cycles.

5. Refund Policy

All fees are non-refundable. Due to the immediate access provided to software, systems, and proprietary resources upon subscription activation, no refunds will be issued for any reason, including but not limited to:

  • Unused subscription time
  • Early cancellation
  • Dissatisfaction with Services
  • Failure to use the Services
  • Account termination for Terms violations

By subscribing, you acknowledge and accept this no-refund policy.

6. Cancellation and Termination

6.1 Cancellation by User

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. No prorated refunds will be issued for partial billing periods.

6.2 Termination by Wideband

Wideband reserves the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent, illegal, or harmful activity
  • Abuse of the platform or other users
  • At Wideband's sole discretion

6.3 Effect of Termination

Upon termination, your access to Services will immediately cease. Wideband is not obligated to retain, export, or provide copies of any data, content, or configurations in your account. You are solely responsible for exporting any data you wish to retain prior to cancellation or termination.

7. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send unsolicited communications (spam) or violate anti-spam laws (CAN-SPAM, TCPA, etc.)
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to any systems or networks
  • Interfere with or disrupt the Services or servers
  • Use the Services to harass, threaten, or harm others
  • Engage in any activity that could damage Wideband's reputation
  • Resell, sublicense, or redistribute access to the Services without authorization
  • Use the Services for any illegal, fraudulent, or deceptive purposes

Violation of this Acceptable Use Policy may result in immediate termination without refund.

8. Intellectual Property

8.1 Wideband Property

All content, materials, branding, methodologies, systems, templates, workflows, and intellectual property provided by Wideband remain the exclusive property of Wideband, LLC. This includes, but is not limited to, Snapshots, automation templates, training materials, and proprietary systems.

8.2 License Grant

Subject to your compliance with these Terms and payment of applicable fees, Wideband grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only.

8.3 Restrictions

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from any Wideband intellectual property without prior written consent.

8.4 Your Content

You retain ownership of content you create using the Services. By using the Services, you grant Wideband a non-exclusive license to host, store, and transmit your content solely for the purpose of providing the Services.

9. Third-Party Services

Our Services may integrate with or utilize third-party services, platforms, and technologies. Wideband is not responsible for the availability, performance, security, or functionality of third-party services. Technical issues, outages, or problems with third-party services are outside Wideband's control. Your use of third-party services may be subject to their respective terms and policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Wideband disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of any content
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the results obtained from use of the Services

NO BUSINESS OUTCOME GUARANTEES: Wideband does not guarantee any specific business results, revenue, leads, sales, or outcomes from your use of the Services. Your success depends on your own efforts, decisions, market conditions, and numerous factors outside Wideband's control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIDEBAND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Any damages arising from platform outages, data loss, or security breaches
  • Any damages arising from third-party actions

IN NO EVENT SHALL WIDEBAND'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO WIDEBAND IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Wideband's liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wideband, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Any content you create, transmit, or store using the Services
  • Any claims brought by your customers, clients, or end-users

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact Wideband and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Charlotte, North Carolina.

13.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH WIDEBAND ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE ACTION.

13.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina.

15. Modifications to Terms

Wideband reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any applicable subscription agreements, order forms, and policies referenced herein, constitute the entire agreement between you and Wideband regarding the Services and supersede all prior agreements, representations, and understandings.

18. SMS/Text Messaging Services

By opting in to receive SMS messages from Wideband, LLC, you agree to the terms outlined in this section.

18.1 Business Identity

Wideband, LLC provides SMS/text messaging services for appointment confirmations, reminders, missed appointment follow-ups, and scheduling updates. Messages are sent to help coordinate and manage your appointments with Wideband, LLC. You can expect to receive messages related to appointment confirmations, appointment reminders, missed appointment notifications, and scheduling updates or changes.

18.2 Opt-In Method and Consent

You may opt in to receive SMS messages from Wideband through the following methods:

  • Website Form: By submitting our website form at https://wideband.ai/contact and providing your phone number. You must check an unchecked-by-default consent checkbox to receive SMS messages from Wideband LLC regarding appointment confirmations, reminders, missed appointment follow-ups, and scheduling updates.
  • Direct Booking: By booking directly at https://api.wideband.ai/widget/bookings/zayed and providing your phone number with consent to receive SMS notifications.

Opt-In Consent Message: "I consent to receive SMS notifications from Wideband LLC regarding appointment confirmations, reminders, and scheduling updates. Message frequency may vary. Message & data rates may apply. Reply HELP to +1 828-373-1205 for assistance or STOP to opt out at any time."

By opting in, you represent that you are the owner or authorized user of the mobile phone number provided and that you have the authority to consent to receive SMS messages at that number.

18.3 Opt-Out & Support Mechanisms

You can cancel the SMS service at any time. Just text "STOP" to +1 828-373-1205. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected] or +1 828-373-1205.

18.4 Message Frequency & Data Rate Disclosure

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive messages for appointment reminders and rescheduling notifications as needed based on your appointment activity. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

18.5 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

18.7 Age Restriction

You must be at least 18 years of age to opt in to receive SMS messages from Wideband. By opting in, you represent and warrant that you are at least 18 years old and have the legal capacity to consent to receive SMS messages.

18.8 Changes to SMS Services

Wideband reserves the right to modify, suspend, or discontinue SMS services at any time, with or without notice. We may also change the phone number from which we send SMS messages. We will notify you of any material changes to our SMS services.

18.9 Compliance with Laws

Wideband's SMS services comply with applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act. By opting in, you consent to receive SMS messages in accordance with these laws.

Acknowledgment

By using Wideband's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, do not access or use our Services.
